Parties and acceptance
This End User License Agreement (“License”) governs the use of the AYCC software and any related components, updates, and documentation (the “Product”) by the entity purchasing or using it (the “Customer”).
By installing, accessing, or using the Product, the Customer declares that it has read, understood, and fully accepted this License.
Intended use (B2B)
The Product is intended exclusively for professional use. The Customer declares that it is acting for purposes related to its business, commercial, craft, or professional activity, and not as a consumer.
License grant
AYCC grants the Customer a non-exclusive, non-transferable, and revocable license to install and use the Product solely for lawful purposes and in compliance with this License and the technical documentation provided by AYCC.
Installation: one server/instance limit
Unless expressly authorized in writing by AYCC, the Customer may install and use the Product on one (1) active server/instance only.
An “active server/instance” means an operational installation used in a production environment or otherwise accessible for regular use (including internal use) by the Customer’s users or systems.
Installing or running the Product on more than one active server/instance without AYCC’s explicit written authorization is prohibited.
Migration and AYCC procedures
In the event of a migration (e.g., transfer to a new server/VM/host/instance), the Customer must:
- follow the installation and migration procedures provided by AYCC (including any activation and verification procedures);
- avoid, unless authorized in writing, running more than one active instance at the same time;
- reasonably cooperate with AYCC to allow the technical checks strictly necessary to ensure proper migration and license compliance.
Prohibited uses: unlawful use and sublicensing
The Customer undertakes not to use the Product:
- for unlawful purposes or in violation of applicable laws and regulations;
- to infringe third-party rights or for fraudulent or abusive activities.
The Customer may not sublicense, assign, resell, rent, lease, distribute, or make the Product available to third parties (including via hosting/“as a service”), in whole or in part, without AYCC’s prior written authorization.
The Customer also undertakes not to (either directly or through third parties):
- Perform reverse engineering, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, architecture, algorithms, or other structural elements of the Product, in whole or in part.
- Copy, reproduce, duplicate, distribute, sell, sublicense, transfer, or otherwise make the Product (or any of its components) available to third parties, except as expressly permitted under this License.
- Modify, adapt, translate, create derivative works, or develop similar/alternative versions of the Product, including for the purpose of replicating or cloning any functionality, interfaces, workflows, or application logic.
- Remove, alter, or obscure any copyright notices, trademarks, proprietary notices, or other ownership legends included in the Product and/or documentation.
- Bypass, disable, or circumvent any technical protection measures, license controls, usage restrictions, authentication systems, security mechanisms, or any other technological protection of the Product.
- Access or attempt to access any non-public parts of the Product or its components (including, by way of example, libraries, server-side components, endpoints, or internal resources) through unauthorized means.
Except to the extent mandatorily permitted by applicable law, any legally permitted activities (e.g., for interoperability) must be carried out within the limits set by law and, where possible, following a prior written request to the Provider.
Revocation and termination
AYCC reserves the right to revoke or suspend the License and/or access to the Product at any time, in particular in the event of:
- breach of this License;
- unlawful or unauthorized use;
- installations exceeding authorized limits;
- attempts to bypass license controls or tamper with the Product.
Upon revocation/termination, the Customer must cease using the Product and, where requested by AYCC, uninstall or render unusable the copies in its possession, without prejudice to what may be necessary for legal compliance or for non-operational backup purposes.
Disclaimer of warranties and limitation of liability
To the maximum extent permitted by law, the Product is provided “as is” and “as available”. AYCC does not warrant that the Product will be error-free, uninterrupted, or fit for the Customer’s specific purpose.
To the maximum extent permitted by law, AYCC shall not be liable for:
- indirect, incidental, or consequential damages;
- loss of profits, loss of data, business interruption, reputational damages;
- replacement or restoration costs arising from the use of, or inability to use, the Product.
Nothing in this License excludes or limits AYCC’s liability where such exclusion or limitation is not permitted by law, including cases of willful misconduct or gross negligence.
Customer obligations (security and compliance)
The Customer is responsible for its own infrastructure (servers, network, access controls, backups, updates) and for configuring and managing the Product. The Customer undertakes not to bypass or alter any technical measures of the Product aimed at license management or security.
Intellectual property
The Product and all related intellectual property rights remain the exclusive property of AYCC and/or its licensors. This License does not transfer any ownership rights in the Product.
Final provisions
If any provision of this License is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
This License constitutes the entire agreement between the Parties regarding the use of the Product, unless otherwise agreed in writing.
Governing law and competent court: Varna Regional Court.
Language
Italian and English versions are available. In case of conflict, Italian prevails.
