AYCC Terms and Conditions

1. Premises

1.1 These Terms and Conditions (the “Terms”) govern access to and use of the products and services offered by All You Can Cloud (“AYCC”).

1.2 AYCC provides software products and modules, including, by way of example and not limitation: AYCC Page Builder, AYCC Form Builder, AYCC DB Designer, AYCC Auth, All You Can Cloud (the “Products”).

1.3 These Terms regulate the use of the Products only and do not govern prices, payments, renewals, refunds, or other commercial conditions, which are governed separately by specific commercial documents (such as Order Forms, quotations, offers, commercial terms, or specific agreements) (the “Commercial Conditions”).

1.4 In the event of any conflict between these Terms and the Commercial Conditions, the Commercial Conditions shall prevail solely with respect to the commercial aspects they regulate.

2. Provider Identification

2.1 Provider: All You Can Cloud (hereinafter “AYCC”).

2.2 Legal form: HI-TECH RESEARCH & CONSULTING EOOD.

3. Scope of Application and Intended Users

3.1 AYCC is primarily intended for business customers (B2B). Use by consumers is not excluded; where applicable, mandatory consumer protection laws shall remain unaffected.

3.2 The Customer undertakes to use the Products exclusively for lawful purposes and in compliance with applicable law, these Terms, and the technical documentation made available by AYCC.

3.3 These Terms are available in Italian and English. In the event of any discrepancy or conflict, the Italian version shall prevail.

4. Definitions

For the purposes of these Terms, the following definitions apply:

4.1 Customer: the entity that uses the Products.

4.2 Admin: a user with administrative privileges enabled on the AYCC instance.

4.3 Standard User: a non-administrative user.

4.4 Instance / Installation: a single installation of the Products on a server.

4.5 Self-Hosted: installation of the Products on the Customer’s own infrastructure (on-premises or cloud). AYCC does not provide hosting services.

5. Self-Hosted Delivery Model

5.1 The Products are provided exclusively in Self-Hosted mode. The Customer is fully responsible for the infrastructure on which the Products are installed and operated.

5.2 Unless otherwise agreed in writing or specified in the Commercial Conditions, installation, configuration, and management of the operating environment are the responsibility of the Customer and/or its partners or suppliers.

6. Installation and Usage Limits

6.1 Unless expressly authorized in writing by AYCC, the Customer may install and use the Products on one (1) single instance on one (1) server.

6.2 It is strictly prohibited to:

a) run or maintain more active instances than those authorized;
b) circumvent, tamper with, or disable security or control mechanisms of the Products;
c) make the Products available to third parties in hosting or “as-a-service” mode without prior written authorization from AYCC;
d) sublicense, assign, resell, rent, distribute, or otherwise transfer the Products, in whole or in part, without prior written authorization from AYCC.

7. Migrations

7.1 In the event of a migration (new server, virtual machine, host, or instance), the Customer shall:

a) follow the technical procedures provided by AYCC;
b) avoid the coexistence of multiple active instances unless expressly authorized in writing by AYCC;
c) reasonably cooperate in any technical checks strictly necessary to verify compliance.

8. Support, Maintenance, and Updates

8.1 AYCC undertakes to maintain the Products and to release updates, bug fixes, and security patches when necessary.

8.2 Product issues (bugs and vulnerabilities): where the Customer reports a malfunction attributable to the Products (including bugs, regressions, or security vulnerabilities), AYCC shall carry out the activities reasonably necessary to investigate and remedy such issues, including the provision of workarounds and/or updates.

8.3 Operational support (installation, configuration, infrastructure): as the Products are Self-Hosted, activities related to installation, configuration, infrastructure troubleshooting, optimization, migration, and system operations are normally handled on a self-service basis through documentation and/or through the Customer’s partners or suppliers.

8.4 Partner support: AYCC may establish a network of trained partners (including specialized customers) to provide operational support to Customers. Any partner support is provided under the terms and conditions defined by the partner and/or in the Commercial Conditions.

8.5 Direct AYCC support via ticketing: AYCC provides a ticketing channel (currently via Discord, or any other channel communicated by AYCC). Unless otherwise agreed in the Commercial Conditions:
a) direct AYCC support for operational or implementation activities may be subject to fees;
b) for multi-license or high-volume Customers, direct AYCC support may be included.

8.6 Service levels: any service levels (SLA), response times, or priorities apply only if expressly defined in the Commercial Conditions. In the absence of an SLA, support is provided on a “best effort” basis.

8.7 Updates: for security or compatibility reasons, AYCC may require the Customer to apply updates within a reasonable timeframe.

9. Customer Responsibilities

9.1 In Self-Hosted mode, the Customer is responsible for:

a) infrastructure, network, operating systems, configuration, hardening, and monitoring;
b) access management, credentials, permissions, and logging;
c) backups and disaster recovery.

9.2 AYCC shall not be liable for data loss, service interruption, or unavailability caused by the Customer’s infrastructure or by third parties under the Customer’s control.

9.3 Where necessary for support purposes, AYCC may access the Customer’s systems only with the Customer’s authorization and in accordance with agreed security measures.

10. Customer Content and Indemnification

10.1 The Customer is solely responsible for all data, content, configurations, and materials processed, stored, or made available through the Products, as well as for compliance with all applicable laws and regulations.

10.2 AYCC is not required to monitor or control Customer content, except as required by law or by an order of a competent authority.

10.3 The Customer agrees to indemnify and hold AYCC harmless from any claim, damage, cost, or expense (including reasonable legal fees) arising from:
a) unlawful use of the Products;
b) violation of third-party rights;
c) unlawful processing of personal data;
d) content or communications created or transmitted by the Customer through the Products.

11. Privacy and Data Protection

11.1 Personal data processing is governed by AYCC’s Privacy Policy published on the website.

11.2 In Self-Hosted mode, the Customer generally acts as the data controller with respect to personal data processed within its own instance.

11.3 Where AYCC processes personal data on behalf of the Customer (for example, during agreed support activities), the parties shall regulate such processing through a specific Data Processing Agreement (“DPA”), made available by AYCC upon request and/or attached to the relevant Commercial Conditions.

12. Intellectual Property

12.1 The Products, source code, documentation, and all related intellectual property rights remain the exclusive property of AYCC and/or its licensors.

12.2 Nothing in these Terms shall be construed as transferring any intellectual property rights to the Customer.

12.3 Any custom developments or modifications performed upon request shall remain the intellectual property of AYCC, unless otherwise agreed in writing.

13. Confidentiality

13.1 Each Party may receive confidential information of the other Party.

13.2 Each Party undertakes to:
a) use such information solely for the purposes of the contractual relationship;
b) not disclose it to third parties except to personnel or consultants bound by confidentiality obligations;
c) protect it using reasonable security measures.

14. Use of Customer Name and Logo

14.1 AYCC may use the Customer’s name and/or logo as a reference for marketing and communication purposes.

14.2 Upon the Customer’s request, AYCC shall remove such references within a reasonable time.

15. Warranties and Limitation of Liability

15.1 To the maximum extent permitted by law, the Products are provided “as is” and “as available.”

15.2 AYCC does not warrant that the Products will be error-free or uninterrupted.

15.3 To the maximum extent permitted by law, AYCC shall not be liable for indirect damages, loss of profits, loss of data, business interruption, or reputational damage.

15.4 Except in cases of willful misconduct or gross negligence and subject to mandatory law, AYCC’s total liability shall be limited to the amounts paid by the Customer to AYCC in the twelve (12) months preceding the event giving rise to the claim, if applicable.

16. Suspension and Termination

16.1 AYCC may suspend or terminate access to the Products in the event of:
a) material breach of these Terms;
b) unlawful, abusive, or harmful use of the Products;
c) attempts to bypass security or control mechanisms.

16.2 Upon termination, the Customer shall cease using the Products and, upon request, uninstall or render unusable any copies, except where retention is required by law.

17. Assignment

17.1 The Customer may not assign or transfer these Terms, in whole or in part, without AYCC’s prior written consent.

17.2 AYCC may assign these Terms, including as part of a corporate reorganization, merger, or transfer of business, without prejudice to the Customer’s accrued rights.

18. Amendments to the Terms

18.1 AYCC reserves the right to amend these Terms by providing reasonable prior notice.

18.2 Continued use of the Products after the amendments take effect constitutes acceptance of the updated Terms, without prejudice to mandatory legal protections.

19. Communications

19.1 All legal or contractual communications relating to these Terms shall be sent to info@allyoucancloud.com, unless otherwise specified by AYCC.

20. Governing Law and Jurisdiction

20.1 These Terms are governed by Bulgarian law.

20.2 The competent court shall be the Regional Court of Varna, Bulgaria.

20.3 Where applicable, mandatory jurisdiction rules for consumers shall remain unaffected.

21. Entire Agreement and Document Hierarchy

21.1 These Terms, together with any documents expressly referenced herein (including, by way of example, the Privacy Policy, any applicable Data Processing Agreement (DPA), technical documentation, and Commercial Conditions), constitute the entire agreement between the Parties and supersede any prior or contemporaneous agreements, communications, or understandings, whether oral or written, relating to the same subject matter.

21.2 In the event of any conflict or inconsistency between the applicable documents, the following order of precedence shall apply:

a) the Commercial Conditions (solely with respect to economic and commercial aspects);
b) any applicable DPA (solely with respect to data protection obligations);
c) these Terms and Conditions;
d) published technical documentation and policies, unless expressly stated otherwise.
